Corporate History

Dr. Dudzinski and Mr. Huck first worked together in the late 1980’s at Medical Management Services (MMS), a prescription benefit management company (PBM) and mail order pharmacy founded by Dr. Dudzinski in 1984. With Dr. Dudzinski as CEO and Chief Architect, the team grew the company from the ground up into a full scale PBM and mail order pharmacy operation marketed nationwide to HMOs, PPOs and self insured groups. At MMS, Dr. Dudzinski and Mr. Huck developed, amongst other programs, a real time claims adjudication system for the electronic submission of pharmacy claims, their first combined venture into the healthcare billing arena, and developed niche market strategies focusing on diabetes, transplant, growth deficiencies and HIV, their first combined effort in the specialty pharmacy arena. Dr. Dudzinski sold MMS to Curaflex Health Services in 1993.

Following the sale of MMS to Curaflex, Dr. Dudzinski and Mr. Huck joined Curaflex, which was subsequently purchased by Coram HealthCare, a $500 million national home infusion company operating in 21 states. Dr. Dudzinski joined as an Executive Vice President and Mr. Huck served as Chief Architect, managing the entire IT department of the company. Dr. Dudzinski served as Executive Vice President of Coram from late 1993 through 1996, while Mr. Huck served as Chief Architect from 1993 to 1999. Dr. Dudzinski served as a member of senior management developing strategic direction, new sales focus incentives, product development and sales analysis. Dr. Dudzinski oversaw the development and implementation from the ground up of outcome/utilization reporting systems, cost-based capitation models and managed care-specific strategies as well as supporting sales efforts and managing an annual budget of approximately $9 million. As Chief Architect of Coram Prescription Services, Mr. Huck managed the entire IT department and oversaw the development of systems covering the pharmacy benefit programs for multiple healthcare plans, as well as overseeing the implementation of a computer system developed to link remote pharmacies.

Dr. Dudzinski and Mr. Huck were reunited in 1999 at Ancillary Care Management (ACM), a Minneapolis-based healthcare company focused on improving the management of ancillary services through technology-enabled solutions. Specifically, ACM is a healthcare benefits management company that delivers next generation decision support tools to manage authorizations, claims processing technology for pricing precision, nationally-recognized patient care programs, and provider network services in the ancillary healthcare arena. While at ACM, Dr. Dudzinski met Matthew Johnson, CFO of ACM at the time and now Founding Principal of Gemini Partners, Inc., a Los-Angeles-based boutique investment bank. Dr. Dudzinski and Mr. Johnson collectively recognized an opportunity in the specialty pharmacy market and partnered to form SPN. Mr. Johnson has been an investor in and an integral contributor to the strategic development of the Company since inception. At ACM, Dr. Dudzinski served as a Partner and Executive Vice President of Sales while Mr. Huck served as Chief Enterprise Architect and Chief Information Officer. At ACM, Dr. Dudzinski was responsible for a number of tasks including the development of sales, marketing and strategic positioning initiatives; the development of specialty pharmacy programs and a physician network for injectable programs; the development of business plans and facilitation of venture capital financing; the development of the company’s Application services division; and was responsible for all sales in the Application division and the negotiation of contracts for over ten million covered lives. Mr. Huck has been overseeing the development of ACM’s technology-enabled solutions for close to a decade at ACM. During Mr. Johnson’s tenure with ACM, he successfully raised the company over $20 million in venture financing and served as a leading figure in the strategic development of the firm. Dr. Dudzinski, Mr. Johnson and Mr. Huck worked together at ACM from 1999 to 2002.

It was at ACM that Dr. Dudzinski, Mr. Johnson and Mr. Huck became intimately aware of the inefficiencies in billing management within the specialty pharmacy market. After leaving ACM in 2003, Dr. Dudzinski started developing a business plan and creating a technology platform for a company focused on improving the efficiency of healthcare professionals involved in the management, administration and payment of specialty pharmaceuticals. Mr. Huck became interested in the concept in 2004 and has consulted on the development of the SPN technology platform since the Company’s inception while continuing his work with ACM. Over the past three years, Dr. Dudzinski has overseen the refinement of the business plan from a subscriber-based online platform giving doctors offices and other distribution systems access to information necessary to accurately bill an insurance payer to a technology platform utilized internally to help the payers identify overbilling by the distribution systems.
